Terms and Conditions of Sale销售条款和条件

1. 1。 Price and payment 价格和付款

1.1 The price (inclusive of VAT) for the Goods (“the Price”) shall be the quoted price of the Seller and payment of the Price shall be made by the Buyer within 30 days of the date (“the Due Date”) of the invoice for the Goods. 1.1的价格（包括增值税的货物）（下称“价格”）应是卖方和支付价款报价应由买方提出在30日（“截止日期”）的天对于货物的发票。

1.2 If the Price is not paid by the due date interest shall accrue both before and after judgment on the unpaid portion of the Price at the rate of four per cent. 1.2如果价格不能按期支付的利息将产生之前和之后对在百分之四未支付部分的增长率均判决。

2. 2。 Goods 商品

The description and quantity of the Goods to be sold (“the Goods”) shall be as set out in the quotation provided by the Seller to the Buyer (“the Quotation”).的说明和货物的数量要出售（“货物”）应如由卖方提供给买方带出（以下简称“报价”）。

3. 3。 Delivery 传递

The Seller shall deliver the Goods to the Buyer's address and on the date as both are shown on the Quotation.卖方应交付的货物交给买方的地址和日期都是在报价显示。 Time shall not be of the essence for delivery.时间不得交付的本质。

4. 4。 Ownership of the goods 货物所有权

The Company shall retain ownership of the Goods until they are paid for.本公司将保留货物所有权，直到他们支付。 If this occurs, the Buyer is responsible for taking reasonable care of the Goods whilst they are in their possession.如果发生这种情况，买方负责照顾他们的商品，而在他们身上是合理的照顾。

5. 5。 Cancellation 取消

The Buyer cannot cancel the order unless the Company agrees in writing.买方无法取消令，除非本公司书面同意。 If the order is cancelled without the Company's agreement, the Buyer must pay any reasonable losses and costs it suffers because of the cancellation.如果订单未经本公司同意取消，买方必须支付的合理的损失和费用是因为取消受到影响。 If the Company cancels the contract, it must pay the Buyer any reasonable losses and costs suffered because of the cancellation.如果公司取消合同，但买方必须支付的合理费用和遭受的损失，因为取消。

6. 6。 Third party rights 第三方权利

Notwithstanding any other provision of this agreement, nothing herein shall confer nor is it intended to confer a benefit on any third party for the purposes of the Contract (Rights of Third Parties) Act 1999 or for any other purpose.尽管本协议，本应赋予任何其他条款，也不是为了赋予任何第三方的合同目的（权利第三方）1999年法令或为任何其他目的的利益。

7. 7。 Governing law and jurisdiction 管辖法律和管辖权
